These Terms & Conditions ("Terms") govern the purchase and use of prepaid service coupon hour blocks ("Hour Blocks") offered through the Luppiter Services marketplace operated by Luppiter Tech Solutions & Services Pvt Ltd ("Luppiter", "we", "us", "our"). By completing a purchase you confirm that you have read, understood, and agree to be bound by these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not proceed with a purchase.

1. Prepaid Model — Pay-As-You-Go Hours

Luppiter Tech Solutions & Services Pvt Ltd ("Luppiter", "we", "us") operates on a strictly prepaid, pay-as-you-go model. Clients purchase a block of expert hours ("Hour Block") for a nominated service line at the price displayed at time of purchase. No retainer, subscription, or monthly recurring fee is charged. A purchased Hour Block entitles the client to draw down hours against in-scope work for the relevant service line until the block is exhausted or expires, whichever occurs first. Luppiter reserves the right to adjust published pricing for new purchases; pricing is locked at time of order for already-purchased blocks.

2. Hour Validity and Expiry

Purchased hours are valid for twelve (12) months from the date of purchase confirmation unless a different validity period is stated on the order confirmation. Hours not consumed within the validity period expire without refund or carry-forward. Clients are responsible for monitoring their remaining hour balance through the Luppiter client portal. Luppiter will issue a courtesy notification when a block reaches 20% remaining or 30 days before expiry, whichever occurs first, but is not obligated to do so if contact details are not current. Validity may be extended by mutual written agreement at Luppiter's discretion and may attract an administrative fee.

3. Recharge and Top-Up

Additional hours may be purchased at any time while a service line remains active in the Luppiter catalog ("Top-Up"). Top-Up hours are issued as a new Hour Block with their own validity period starting from the date of the Top-Up purchase. Each Top-Up is an independent transaction; hours from multiple blocks are drawn down in order of expiry (oldest first). Luppiter operates this mechanism analogously to a prepaid telecommunications SIM card — the client is in full control of recharge timing and volume.

4. Work Logging and Client Confirmation

For each engagement session, Luppiter will submit a work log detailing the date, duration, practitioner, and summary of work performed. Hours are deducted from the client's Hour Block only after the client confirms the work log as accurate. Confirmation must be provided within five (5) business days of submission; if no response is received within this period, the work log is deemed confirmed and hours are deducted automatically. Disputes regarding a work log must be raised in writing within the five-day window. Luppiter will not deduct hours for work the client has explicitly disputed until the dispute is resolved.

5. Scope of Work and Change Requests

Each engagement commences with an agreed scope document ("Scope") specifying the deliverables, platforms, and tasks to be performed. Work outside the agreed Scope constitutes a change request and requires a written change order confirming the additional hours to be consumed before work begins. Luppiter will not commence out-of-scope work unilaterally. The client acknowledges that scope expansion is common in complex technical engagements and agrees to engage in change request discussions in good faith and within a reasonable timeframe to avoid blocking progress.

6. No Refunds on Consumed Hours

Hours that have been consumed and confirmed (or auto-confirmed per clause 4) are non-refundable. In the event that a client is dissatisfied with work performed, the appropriate remedy is a dispute raised during the confirmation window (clause 4) or a quality complaint escalated to Luppiter's client success team. Luppiter may, at its sole discretion, credit hours as a goodwill gesture in cases where a quality shortfall is substantiated. Unused hours in a valid, unexpired Hour Block are refundable on written request only where the client can demonstrate that Luppiter was unable to resource an engagement within thirty (30) business days of a formally submitted engagement request.

7. Confidentiality and Non-Disclosure

Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent. "Confidential Information" means all non-public technical, commercial, and operational information disclosed in connection with an engagement, including client data, system credentials, business processes, and engagement deliverables. This obligation survives termination or expiry of any engagement for a period of three (3) years. Luppiter practitioners engaged on client work are bound by equivalent confidentiality obligations. Luppiter will not use client Confidential Information for any purpose other than delivering the agreed engagement.

8. Data Handling and Security

Luppiter will process client data only to the extent necessary to deliver the agreed scope. Where an engagement requires access to production systems or sensitive data, Luppiter will require the client to provide appropriately scoped credentials (principle of least privilege) and will not retain copies of client data beyond the engagement period. Luppiter maintains ISO 27001-aligned information security practices internally. Clients operating in regulated industries (financial services, healthcare, critical infrastructure) are responsible for ensuring that their data handling requirements are communicated to Luppiter in writing before engagement commencement. Luppiter will accommodate reasonable additional controls within agreed scope.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Luppiter's total aggregate liability to the client arising out of or in connection with any engagement shall not exceed the total fees paid by the client for the Hour Block from which the relevant work was drawn. Luppiter shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profit, loss of data, or business interruption, even if advised of the possibility of such damages. Nothing in these terms limits either party's liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

10. Governing Law and Dispute Resolution

These Terms and all engagements governed by them are subject to the laws of the Republic of Singapore, without regard to its conflict of law provisions. The parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of thirty (30) days before initiating formal proceedings. Any dispute that cannot be resolved by negotiation shall be referred to and finally resolved by arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) Rules then in force. The language of arbitration shall be English. The award shall be final and binding on both parties. Luppiter Tech Solutions & Services Pvt Ltd is incorporated in Singapore.
